FOUNDATIONIP.COM - TERMS AND CONDITIONS OF SERVICE

1. Acceptance of Terms

Welcome to FoundationIP.com. FoundationIP, LLC provides this service to you subject to the Terms of Service ("TOS"), described below, which may be modified by us from time to time without notice to you. The TOS forms a basis of your agreement with FoundationIP, LLC for your use of this FoundationIP.com service. By using or continuing to use this service, you are agreeing to be bound by this TOS and any new or modified terms and conditions. By agreeing to the TOS, you give us the right to change it, and agree that each time you access the service you accept the TOS as it then exists. 2. Description of Service

FoundationIP, LLC provides users with access to an expansive collection of on-line information through FoundationIP.com. ("The Service"). Unless explicitly stated otherwise, any new features that are subsequently added to the Service shall be subject to the TOS. You understand and agree that the Service is provided "AS-IS" and that in the absence of a written agreement with you to the contrary, FoundationIP, LLC assumes no responsibility or liability for the content, accuracy, reliability, completeness or timeliness of any user communications or messages ("User Content"), the mis-delivery of or failure to publicly post or store any User Content, or the monitoring, deletion or editing of any content. You also understand that the services provided by FoundationIP.com should not be considered legal advice and that your use of the service does not constitute an agreement to enter into an attorney-client relationship. Intellectual property law is a complex area of the law. If you are not an intellectual property attorney, we urge you to consult competent intellectual property counsel when trying to make a decision with respect to your intellectual property.

3. User Account, Password and Security

You will receive a password and account designation upon completing the Service’s registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all uses of and activities that occur under your password or account. You agree to immediately notify FoundationIP, LLC of any unauthorized use of your password or account or any other breach of security. In addition, you agree that you will take positive steps to ensure that you will exit from your account at the end of each session. FoundationIP, LLC cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 3.

4. User Conduct

You are prohibited from violating, or attempting to violate, the security of FoundationIP.com. Any violations may result in criminal and civil liabilities to you. FoundationIP, LLC will investigate any alleged violations and will cooperate with law enforcement agencies if a criminal violation is suspected. Examples of violations of the security of the FoundationIP.com system include, without limitation, the following:

  • Accessing data not intended for you;

  • Logging into a server or account which you are not authorized to access;

  • Attempting to probe, scan or test the vulnerability of the system;

  • Attempting to breach security or authentication measures without proper permission;

  • Attempting to interfere with service to any other User, host, or network, including, without limitation, via means of overloading , "flooding", "mail-bombing", or "crashing";

  • Taking any action in order to obtain services to which you are not entitled.

You may not use the FoundationIP.com system to create, transmit, distribute, or store material that:

  • violates a trademark, copyright, trade secret or other intellectual property rights of another;

  • violates the privacy, publicity or other personal rights of others;

  • contains obscene, offensive or inappropriate content;

  • constitutes pornography;

  • may be threatening, abusive or hateful;

  • violates export control laws or regulations;

  • encourages conduct that would constitute a criminal offense or give rise to civil liability;

  • causes technical disturbances to the FoundationIP.com system, including, but not limited to, introduction of viruses, worms, or other destructive entities;

  • violates reasonable regulations of FoundationIP.com

If you become aware of any of these activities, you are obligated to immediately notify FoundationIP, LLC and to take all other appropriate action to cause the activities to cease.

If you provide content to the FoundationIP.com system, you are responsible for that content. FoundationIP.com exercises no control over, and accepts no responsibility for, the content of the information passing through the FoundationIP.com system, including content provided on any third party web-sites into the FoundationIP.com system, unless you have a contractual relationship with FoundationIP LLC, specifying this type of responsibility.

Any web-site links are provided as Internet navigation tools for informational purposes only and not as an endorsement by FoundationIP, LLC of the contents of such web-sites. FoundationIP, LLC does not adopt, nor warrant the accuracy of, the content of any linked web-site and undertakes no responsibility to update the content.
